Summary of BSPTI Articles of Association

Article 1 of the association stipulates that the society was established in the Kingdom of Bahrain in 2005 under the restriction No. 6/ج/ت.ع.ت in accordance with the provisions of the Law on societies, social and cultural clubs and private bodies working in the field of youth, sports and private institutions issued in the Official Gazette by Decree No. (21) For the year 1989 and the Ministerial decisions issued for its implementation.

The association shall register in the Ministry of Social Affairs and assume the personality of the society from the date of publication of its registration in the Official Gazette in accordance with the provisions of Ministerial Resolution No. (2) Of 1990, as well as the organization of the registration of societies and social and cultural clubs under the supervision of the Ministry of Labor and Social Affairs.

The headquarters of the BSPTI and its management centre; Apartment 1 – Building 604 – Road 1807 – Al-Hoora Complex and the society may not engage in politics or engage in financial speculation, nor may it be able to belong, participate or join an association, body, club or union based outside the Kingdom of Bahrain without prior permission from the Ministry of Social Affairs to do so.
Within the limits of the law, the society shall work to achieve the following objectives:-

  • Protect the interests of private training institutes and centres, and provide moral support.
  • Cooperate with the relevant authorities in the interests of the parties concerned.
  • Cooperate with the specialized authorities in the development of training curricula.
  • Enhance training cultures and raising awareness of the importance of improving performance and increasing productivity in various areas of work.
  • Dedicate efforts to advance the comprehensive training process for sustainable development.
  • Dedicate ambitious national plans to eliminate unemployment by developing and creating advanced programs to refine the skills of trainees and supervising their employment in cooperation with government and private entities.
  • Cooperate with private institutes and training centres in solving training problems.
  • To motivate, encourage members to create contemporary programs that keep pace with the needs of the local labour market and spread them among themselves.

The BSPTI seeks to achieve its objectives in accordance with the applicable laws by the following means:

  • Organizing exhibitions, conducting seminars, lectures, conferences and holding workshops to spread the society’s objectives at the local and international level, and to represent them in relevant forums locally and internationally.
  • Opening channels of direct communication between the members of the BSPTI and all concerned parties and official bodies.
  • Cooperation with institutes, societies and special training facilities inside and outside the Kingdom to implement the objectives of the BSPTI taking into account the regulations followed in the Kingdom.
  • Cooperation with all official bodies and all civil society institutions that are in line with the society’s objectives and coordinate efforts between them in order to communicate constructively and invest it professionally and developmentally in the field of training.
  • Build a special website and design a web page for BSPTI showing its activities and objectives in order to further communicate with the public and the world.

BSPTI aims to carry out the following activities:

1- Social.
2- Training.
3- Cultural.

The Articles of Association have set the requirements for membership in the BSPTI as follows:

Working membership is available to owners and training centres who, at the discretion of the Board of Directors, must meet the following conditions:

  • Be the owner of an institute or training centre.
  • The institute or centre must have a valid license from the Ministry or the concerned authority.

The representative of the institute or the centre (natural membership) must meet the following conditions:-

  • To be at least eighteen years old.
  • To be a resident of the Kingdom of Bahrain.
  • To be reputable and good behavior, and not be sentenced for a crime against honor or honesty unless cleared of the same.
  • Must have a written authorization from the institute/training centre member of the BSPTI – except owners/partners.

Membership is divided by the articles of association of BSPTI into:

1- Working Membership.
2- Associate Membership.
3- Honorary Membership.

The Article of Association defines the members’ rights, and duties, and the method of association, withdrawal, dismissal and dropping of membership from the Assembly, as article (17) of the regulations indicated the right of the member to complain about the decision to dismiss him before the Ordinary or Extraordinary General Assembly and to consider the decision of the General Assembly final in this regard.
The Article of Association included the statement of the various bodies of the Assembly, it was considered that the General Assembly is the supreme authority in shaping the policy of the BSPTI and monitoring its application and its decisions apply to all its organs, committees and members. The Article of Association has defined how to convene the general assembly of the ordinary and extraordinary the conditions to be followed when they are held, the quorum to be available and how to vote on and call for their decisions.
The Article of Association also defined the terms of reference of both the Ordinary and Extraordinary General Assembly.
The Article of Association also showed that the Board of Directors consists of nine members elected by the General Assembly from among its members for a period of two years, renewable for a period or another term, and are elected by direct secret ballot.
The statutes considered that the Board of Directors is the executive branch of the Assembly and implements the policy drawn by the General Assembly and the resolutions it issues in order to achieve the legitimate purposes of the assembly. The Article of Association also defined the purpose of of the Council and the conditions of its membership and its right to form different committees and that its meetings are held once every two months, the Article of Association also defined the method of voting and how to dissolve the Council.
And about the finances of BSPTI the Article of Association specified that the resources of the society consist of:

  • The membership fee paid by the member after being registered or re-registered with its membership.
  • Members’ subscriptions.
  • Unconditional donations and donations authorized by the Ministry of Social Affairs.
  • Revenues from exhibitions and activities held, or participated by the BSPTI after the approval of the concerned authorities.
  • Profits and benefits resulting from the investment of the BSPTI’s funds within the applicable laws in the Kingdom of Bahrain.

The Article of Association also stated the need for the BSPTI to keep the necessary records and books for the conduct of its work and the direction of the disbursement of funds and ways to deposit them, to start its financial year from January 1st and end on December 31st of each year, provided that the exchange is in accordance with the financial regulations of the association, and that the board of directors presents the final account to the General Assembly for approval.

The Article of Association also defined financial control methods and auditing the final accounts of the society’s revenues and expenses.

Finally, the Article of Association defined method of its amendment, and how to integrate or divide the assembly into the rules of its optional or compulsory solution and who would be sought for the solution.

After the liquidation process is completed, the liquidator distributes the remaining funds to the bodies working in the field of work of the BSPTI in the Kingdom of Bahrain.

If the method of distribution becomes possible, the Ministry of Social Affairs will determine which entity the society’s funds are directed to.
